Terms of Service

These terms apply to a merchant’s use of Loial at loial.ca and the related dashboard, staff, wallet, campaign, analytics, and billing services.

Loial provides software that lets a business run a loyalty program using Apple Wallet or Google Wallet passes. A merchant can configure stamp or points programs, rewards, staff earning and redemption, wallet notifications, and program analytics. Loial is the technology provider; it is not the merchant, the seller of the merchant’s products, or the issuer of the merchant’s rewards.

You must be authorized to act for the business using Loial and must provide accurate account and business information. Keep login credentials private and make sure staff use only the access they are authorized to use. You are responsible for activity under your account, your staff’s use of the staff flow, and the devices and connectivity used to access the service.

You are responsible for:

  • the loyalty rules, reward descriptions, fulfilment, and customer-facing promises you publish;
  • collecting and using customer information lawfully, including obtaining any consent required for campaigns;
  • making sure campaign content, images, links, and branding are accurate and lawful; and
  • following applicable laws and the rules of Apple Wallet, Google Wallet, Stripe, and any other service you connect to Loial.

Do not use Loial to send unlawful or misleading content, commit fraud, interfere with the service, access another merchant’s data, or reverse engineer or bypass security controls. A wallet pass is not proof of a balance or entitlement; the merchant must use the current information shown by Loial’s service.

The merchant operating a program decides who may participate, how stamps or points are earned, which rewards are available, and how rewards are fulfilled. Questions about a missing transaction, an expired or unavailable reward, or a merchant’s offer should be directed to that merchant. Loial may suspend or revoke a pass or account when needed to protect the service, comply with law, or follow a merchant’s instruction.

Your price, billing interval, taxes, and payment terms are the terms communicated when your Loial account is set up or otherwise agreed with you. Billing is managed by Loial and processed through Stripe. Loial does not store your complete card number; Stripe handles payment details and Loial receives limited payment-method information such as brand and last four digits.

Plan changes and cancellation are handled by Loial’s administrator. Contact support@loial.ca for a billing question, plan change, or cancellation request. We may restrict access after an overdue payment or other material breach, subject to applicable law and any notice required.

We work to keep Loial available, but the service is provided over the internet and depends on hosting, authentication, payment, Apple, Google, and other third-party systems. We do not promise uninterrupted or error-free operation, a particular delivery time for wallet updates, or continued availability of a third-party feature. We may change, improve, suspend, or discontinue parts of Loial when reasonably necessary.

Loial and its software, design, documentation, and trademarks belong to Loial or its licensors. You keep ownership of your business data and content. You give Loial the limited permission needed to host, copy, transmit, display, and process that content to operate, secure, and improve the service. You must have the rights needed to provide the content.

Our Privacy Policy explains how Loial handles personal information. A merchant remains responsible for its own customer-facing privacy notices, instructions, and legal obligations. You must not give Loial personal information that you are not authorized to provide.

You may ask Loial to end your account by contacting support. We may suspend or terminate access for non-payment, misuse, a security risk, or a material breach. When service ends, access to the dashboard and staff tools may stop and wallet passes may no longer update. We may retain information where needed for legal, accounting, security, dispute, or backup purposes, as described in the Privacy Policy.

To the extent permitted by law, Loial is provided “as is” and without guarantees that it will meet every business need, increase sales, reach every customer, or make a merchant’s loyalty program legally compliant. Loial does not provide legal, tax, accounting, or marketing advice.

To the extent permitted by law, Loial will not be liable for indirect, incidental, special, consequential, or punitive losses, or for lost profits, revenue, data, or goodwill. Loial’s total liability arising from the service will not exceed the fees you paid to Loial for the service in the 12 months before the event giving rise to the claim. This section does not limit liability that cannot lawfully be limited.

We may update these terms by posting a revised version at loial.ca. The updated version applies from its stated effective date. If you keep using Loial after that date, you accept the updated terms. Questions and notices should be sent to support@loial.ca.

These terms are a concise starting point for Loial’s current product scope. Have Canadian counsel review them, especially the legal entity, billing, governing-law, liability, and merchant data-processing provisions before launch.
